These Terms of Service ("Terms") govern your access to and use of the website at padmg.com (the "Site") and any services provided by PAD Management Group ("PADMG," "we," "us," or "our"). By accessing or using our Site, you agree to be bound by these Terms. If you do not agree, please do not use our Site.

1. Acceptance of Terms

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.

2. Services Description

PADMG provides AI consulting services, including but not limited to AI strategy development, process automation, AI system implementation, and team enablement. The specific scope, deliverables, and terms of any consulting engagement will be governed by a separate Statement of Work ("SOW") or service agreement between PADMG and the client.

Information provided on the Site, including blog posts, case studies, and other content, is for general informational purposes only and does not constitute professional advice.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the rights of others
  • Attempt to gain unauthorized access to any part of the Site or its systems
  • Interfere with or disrupt the Site or its servers and networks
  • Transmit any harmful code, malware, or disruptive technology
  • Collect or harvest personal information from the Site without authorization

4. Intellectual Property

All content on the Site, including text, graphics, logos, images, and software, is the property of PADMG or its licensors and is protected by copyright, trademark, and other intellectual property laws. For client engagements, intellectual property ownership and licensing terms will be defined in the applicable SOW or service agreement. Unless otherwise specified, clients retain ownership of custom systems and deliverables produced during the engagement.

5. User-Submitted Content

When you submit information through our contact forms, newsletter signups, or other Site features, you grant PADMG a non-exclusive, royalty-free license to use that information for the purpose of responding to your inquiry and providing our services. We will handle your personal information in accordance with our Privacy Policy.

6. Disclaimers

The Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

PADMG does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information on the Site.

7. Limitation of Liability

To the fullest extent permitted by applicable law, PADMG and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to the Site shall not exceed the amount you have paid to PADMG, if any, for services during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless PADMG and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Site or your violation of these Terms.

9. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by PADMG. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. Your use of third-party sites is at your own risk.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
